Andersen advises Audicom on Anitec-Assinform’s entry and the evolution of JIC governance

Andersen Italia advised Audicom, the Italian Joint Industry Committee (JIC) responsible for measuring the consumption of multimedia and editorial content, on the process leading to Anitec-Assinform joining its shareholder structure and the evolution of the company’s governance.

Given the nature of the transaction, the operation required the development of a complex corporate and economic framework. Andersen supported Audicom through a multidisciplinary approach, combining corporate law and Corporate Finance expertise to structure a reorganisation that is unique within the European JIC landscape.

On governance matters, Andersen’s Tax & Legal team, led by partners Sebastiano Dell’Arte and Giovanni Pietramala, with the support of director Carlo Riso, assisted Audicom in defining the new corporate structure and the mechanisms required to integrate a new representative body for digital operators into the shareholder structure and governing bodies, while preserving the participatory model and the balance of interests that characterise a Joint Industry Committee.

In parallel, on the valuation side, the Corporate Finance team, led by director Davide Buosi, with the support of manager Alberto Rosso, assisted the company in defining the financial and economic aspects of the transaction.

This approach made it possible to reflect the platform’s growth potential within the expanded governance framework and to translate the different business perspectives of the parties involved into a shared corporate and financial structure consistent with the objectives of the transaction.

The transaction marks an unprecedented milestone in Europe’s digital industry, paving the way towards shared governance across publishing, digital media and streaming, and towards an integrated, cross-media, shared and certified measurement model.
