Consulting for the Adoption of Organizational, Management, and Control Models
We support corporate governance by developing an organizational structure designed to reduce the risk of the company’s involvement in criminal events through specific safeguards and controls. We guide the entire organization through a process that leads to the creation of a specific Organizational, Management, and Control Model aimed at achieving compliance objectives by minimizing the risk of offenses committed in the company’s interest or for its benefit.
Our approach seeks to achieve an integrated compliance system through systematic controls, avoiding inefficiencies and cost duplication by ensuring proper interaction between other (superior) and (subordinate) corporate control systems. We promote and identify close interconnections among control systems, following the principles set by ISO Standard 37301:2021, so that the company can gain benefits in terms of internal efficiency and external verification by oversight bodies (Supervisory Body, Board of Statutory Auditors, Internal Audit, etc.).
Corporate Social Responsibility
We conduct our work with a clear focus on Corporate Social Responsibility (CSR), meaning the company’s responsibility to efficiently manage the impacts and potential harm arising from its operations, in compliance with ESG (Environmental, Social, Governance) criteria.
In fact, we believe that by adopting an adequate Organizational, Management, and Control Model under Italian Legislative Decree 231/01 a company can be considered compliant with CSR principles and, through adherence to the Model’s provisions, aligned with ESG criteria.
Risk Assessment in Organizational Models
We consider risk assessment to be the cornerstone of Organizational Models. Therefore, we conduct detailed risk analyses (risk assessment/risk matrix) to identify the company processes most exposed to potential predicate offenses, thereby supporting management in developing tailored procedures and protocols.
We periodically monitor activities and internal policies in light of adopted and formalized protocols and procedures, ensuring through precise gap analyses that the organization is always aware of the effective implementation of the directives issued.
Management and Support of the Supervisory Body
We also provide support in developing an adequate disciplinary system, identifying guidelines to help the organization comply with established and shared procedures.
We assist management in managing information flows to and from the Supervisory Body and provide specific support in implementing and disseminating Whistleblowing regulations.
