Andersen assists H2 Energy in its capital increase
Andersen assisted the Brescia-based SME H2 Energy in opening its share capital to investor partners through a capital increase worth EUR 7 million.
H2 Energy, managed by Claudio Mascialino and based in Azzano Mella (Brescia), operates in the hydrogen sector and the production of electrolyzers. It was assisted in the transaction by a team led by lawyer Andrea Ferrandi, Partner and Coordinator of the Legal department of Andersen in Italy. In particular, Andrea Ferrandi and lawyer Carlo Riso handled the drafting of the investment contracts and negotiations with the investor shareholders, the structuring of the corporate governance, and the amendment of the articles of association. Advisor Serena Quaranta conducted the structuring of the business plan.
Andersen has worked with H2 Energy since its establishment and continues to follow all commercial contracts in Italy and abroad. In particular, regarding know-how protection, and managing the various joint venture relationships finalised by the company and deemed strategic and functional to the development of the business initiative.
Luca Allevi, a chartered accountant partner of Studio Leaders, has managed the tax aspects of the capital increase.
