{"id":10778,"date":"2020-07-28T10:29:12","date_gmt":"2020-07-28T08:29:12","guid":{"rendered":"https:\/\/it.andersen.com\/?p=10778"},"modified":"2024-02-15T17:47:07","modified_gmt":"2024-02-15T16:47:07","slug":"the-judges-non-discretionary-nature-for-the-order-to-produce-the-accounting-records-in-the-sale-of-the-business","status":"publish","type":"post","link":"https:\/\/it.andersen.com\/en\/the-judges-non-discretionary-nature-for-the-order-to-produce-the-accounting-records-in-the-sale-of-the-business\/","title":{"rendered":"The judge&#8217;s non-discretionary nature for the order to produce the accounting records in the sale of the business"},"content":{"rendered":"<p>In the context of company transfers, pursuant to Article 2560 of the Italian Civil Code, the transferee is jointly and severally liable with the transferor for the company&#8217;s past debts resulting from the compulsory accounting records.<\/p>\n<p>On this subject, with order no. 13903\/2020 the Supreme Court ruled that the judge <strong>is deprived of the discretion<\/strong> to issue the order to produce the accounting records (<em>ex<\/em> art.210 c.p.c.) when the creditor of the company so requests for the application of the solidarity of the transferee.<\/p>\n<p>This is a very important ruling with which the Supreme Court reaffirms the <em>ratio<\/em> of Article 2560 of the Italian Civil Code, to protect the creditor: denying the order to produce the accounts would be tantamount to preventing the creditor from applying the mechanism of joint and the liability of the assignee.<\/p>\n<p>Attached is the order of the Supreme Court.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>In the context of company transfers, pursuant to Article 2560 of the Italian Civil Code, the transferee is jointly and severally liable with the transferor for the company&#8217;s past debts resulting from the compulsory accounting records.
