Governing and Managing the M&A Process
Our M&A Advisory team takes care of all the stages of the M&A process.
At the pre-deal stage, our team helps identify the best perimeter of the deal, to then start up talks with potential counterparties.
During the deal, our work focuses on setting out the preliminary terms for the transaction, carrying out due diligence, and coordinating the professionals engaged by the client. We also provide advisory on assessing non-binding offers received, for sell-side clients, or formulating such offers, for buy-side clients.
At the post-deal stage, we support clients in negotiating the price and financial terms with the counterparty to arrive at a binding offer and a purchase and sale agreement on stock units or shares. We also work with the legal professionals involved on negotiating the contract terms and conditions, outlining the security package, and managing the closing of the deal.
Sell-side Deals
Sell-side deals concern the disposal of minority or majority equity interests, the sale of business units, or capital increases targeted at new investors.
In these cases, our team partners with the client to identify the best strategy and outline the perimeter of the deal.
We then take care of starting up talks with potential counterparties and setting out the preliminary terms for the deal. We also assist in assessing non-binding offers received and coordinate the professionals engaged by the client.
We support the client in negotiating the price and financial terms of the binding offer and the purchase and sale agreement for stock units or shares (for the disposal of equity interests) or the investment agreement (for capital increases), or the sale agreement for business units.
Finally, we support legal professionals in negotiating the contract terms and conditions, outlining the security package, and in closing the deal.
Buy-side Deals
Buy-side deals concern the acquisition of minority or majority equity interests, the purchase of business units, or the subscription of capital increases targeted at new investors.
Also in these cases, our team partners with the client to identify the best strategy and outline the perimeter of the deal, to then start up talks with potential targets and set out the preliminary terms of the deal.
Our professionals also provide assistance in formulating offers to vendors and in coordinating due diligence activities and the work of the professionals engaged by the client. We then see to the negotiation of the price and financial terms of the binding offer and the purchase agreement for stock units or shares, or the investment agreement.
